Welcome to Ohana Recruitment Ltd (“Ohana”, “we”, “our”, or “us”). By engaging with our recruitment services, whether as a client or candidate, you agree to the following Terms and Conditions. These terms are designed to protect both parties, clarify expectations, and ensure a fair and transparent relationship.
- Definitions
Client – Any company, organisation or individual who instructs Ohana to introduce candidates for employment or engagement.
Candidate – Any individual introduced by Ohana to the Client for an engagement or employment opportunity.
Engagement – Employment, contract for services, or any other form of engagement between the Client and Candidate, whether directly or indirectly.
Introduction – The provision by Ohana of a Candidate’s details to the Client, whether in writing, verbally, or otherwise.
Fee – The agreed charge payable by the Client to Ohana for an Engagement.
- Basis of Engagement
Ohana operates as an independent recruitment consultancy. These Terms apply to all Introductions made by Ohana to the Client and override any other terms the Client may seek to impose.
- Introductions and Confidentiality
Candidate Introductions are strictly confidential.
If a Candidate introduced by Ohana is passed to another party by the Client and is subsequently engaged, the Client will be liable for the full fee as if they had hired the Candidate directly.
Introductions are valid for 12 months from the date of introduction.
- Fees and Payment Terms
Fees are calculated as a percentage of the Candidate’s total first-year expected gross remuneration (including base salary, guaranteed bonuses, car allowance, etc.).
Standard fee structure:
Contingent Search: [Insert % – e.g. 18-20%]
Retained Search: Subject to a staged agreement and individual terms.
All invoices are payable within 14 days of the Candidate’s start date unless otherwise agreed in writing.
VAT is payable on all fees at the prevailing rate.
- Rebates and Guarantees
If a Candidate leaves within 8 weeks of their start date, Ohana may offer a one-time replacement free of charge, subject to:
The fee being paid in full and on time.
The role and job description remaining unchanged.
Ohana being given exclusive rights to refill the position for a minimum of 2 weeks.
No rebate or replacement is offered where the Candidate is made redundant, or if the Client has materially changed the role or working conditions.
- Candidate Suitability
While Ohana takes all reasonable steps to vet Candidates, the final decision to engage rests with the Client.
Clients are responsible for verifying qualifications, right to work, references, and conducting any necessary background checks.
Ohana accepts no liability for any loss or damage arising from a Candidate’s engagement.
- Liability and Indemnity
Ohana shall not be liable for any loss, damage, costs, or expenses incurred by the Client in connection with a Candidate’s Engagement.
The Client agrees to indemnify Ohana against all claims arising from the Client’s decision to engage a Candidate.
- Termination of Services
Ohana reserves the right to withdraw Candidates or terminate its services if the Client breaches these Terms, acts unethically, or otherwise fails to provide a professional recruitment experience.
- Data Protection
Ohana complies with the UK GDPR and all applicable data protection laws. By using our services, the Client agrees to handle all Candidate data responsibly and in accordance with relevant privacy legislation.
- Governing Law and Jurisdiction
These Terms shall be governed by the laws of England and Wales and subject to the exclusive jurisdiction of the English courts.
